Terms of Use

Last updated 2026-11-07

These Terms of Use (“Terms”) are an agreement between you and Venture Brightly Pty Ltd (ABN 91674164811) for use of JotOpp. By using JotOpp, you agree to these Terms. If you do not agree, do not use the product.

1. The product (v1)

JotOpp is a planning tool provided as software that runs in your browser. The first version is local only: your workspace is stored on your device. There are no user accounts in v1. Features may change, and we may add optional cloud or account features later under updated Terms.

2. Your content — you own it

You retain all rights to the content you create or import into JotOpp. We do not own your ideas, opportunity trees, initiatives, priorities, roadmaps, or export files. You are responsible for that content and for keeping backups (for example via Export).

You grant us only the limited permission needed to operate the product as you use it (for example, serving the app and processing aggregate analytics as described in the Privacy Policy). That permission ends when you stop using the product, except for anonymised analytics already collected.

3. Acceptable use

You must not:

  • misuse JotOpp or attempt to disrupt or reverse-engineer it beyond ordinary use
  • use it for unlawful purposes
  • attempt to access other people’s devices or data through the product

4. No warranties

To the maximum extent permitted by law, JotOpp is provided “as is” and “as available”, without warranties of any kind, whether express or implied — including fitness for a particular purpose, merchantability, non-infringement, uninterrupted availability, or that data will never be lost. You use the product at your own risk. Local browser storage can be cleared, corrupted, or lost; keep your own exports.

5. Limitation of liability

To the maximum extent permitted by law, Venture Brightly Pty Ltd and its officers, employees, and agents are not liable for any loss or damage arising from your use of (or inability to use) JotOpp, including loss of data, loss of profits, business interruption, or indirect, incidental, special, or consequential loss — whether in contract, tort (including negligence), statute, or otherwise.

If liability cannot be excluded under applicable law, then to the maximum extent permitted, our total aggregate liability to you for all claims relating to JotOpp is limited to AUD $0 while the product is provided free of charge, or, if you have paid fees to us for JotOpp, to the amount you paid us for JotOpp in the 12 months before the claim.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where those guarantees apply and a failure is not a major failure, our liability may be limited to re-supply of the services or payment of the cost of re-supply.

6. Indemnity

You agree to indemnify and hold harmless Venture Brightly Pty Ltd from claims, losses, and costs arising from your content or your misuse of JotOpp, to the extent permitted by law.

7. Privacy

Our Privacy Policy explains local storage and limited server-side analytics. It forms part of how we operate the product together with these Terms.

8. Changes and termination

We may update these Terms by changing this page and the “Last updated” date. Continued use after a change means you accept the new Terms. We may suspend or stop offering JotOpp at any time. You may stop using it at any time and clear local data from your browser.

9. Governing law

These Terms are governed by the laws of Victoria, Australia. Courts in Victoria, Australia have exclusive jurisdiction, except that you may bring proceedings in your local courts if required by non-excludable consumer law.
